3. Service Description

Sparta Tech provides AI-powered virtual receptionist services including:

• 24/7 call answering and message taking
• Appointment scheduling and booking
• Lead qualification and routing
• SMS and web chat integration
• CRM integration and data management

We use reasonable commercial efforts to maintain 99.9% uptime but do not guarantee uninterrupted service.

4. Payment and Billing

Fees: You agree to pay all fees specified in your chosen plan. All fees are non-refundable except as expressly stated in these Terms.

Billing: We bill on a recurring monthly or annual basis depending on your plan. Payment is due on the first day of each billing period.

Price Changes: We reserve the right to change prices with 30 days' notice. Continued use constitutes acceptance of new pricing.

Overages: If you exceed your plan's included usage, additional charges will apply at the rates specified in your plan.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that could harm others. Prohibited uses include:

• Spam, harassment, or abusive behavior
• Transmitting malicious code or malware
• Infringing on intellectual property rights
• Violating privacy rights of individuals
• Operating illegal businesses or services
• Attempting to gain unauthorized access to our systems

Violation may result in immediate termination of your account without refund.

6. Intellectual Property

Our Property: The Service, including all software, AI models, documentation, and materials, is owned by Sparta Tech and protected by intellectual property laws.

Your Property: You retain ownership of any content you provide to the Service. By using the Service, you grant us a license to process and store your content solely to provide the Service.

Feedback: Any feedback or suggestions you provide may be used by us without obligation or compensation.

7. Privacy and Data

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARTA TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

By You: You may terminate your account at any time through your account settings or by contacting support.

By Us: We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your data after termination, subject to our data retention policies.

10. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration: Any disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Class Action Waiver: You agree to resolve disputes only on an individual basis, not as part of a class action or representative proceeding.
